1. Acceptance of Terms

By creating an account or using any feature of the Platform, you confirm that you are at least 18 years old, have read these Terms, and agree to be bound by them. If you do not agree, do not use the Platform.

2. Account Registration

• You must provide accurate and complete registration information and keep it up to date.
• You are responsible for maintaining the confidentiality of your password and all activity under your account.
• You may not share, transfer, or sell your account to another person.
• Notify us immediately at support@wavesaistudio.com if you suspect unauthorised access.

3. Credits & Subscriptions

Credit packs: Credits are purchased as one-off packs and deducted each time you use an AI feature. Credit costs per generation are shown on the platform before use.

Subscriptions: Monthly and annual plans include a set credit allowance that renews on your billing date. Unused credits do not roll over to the next period unless the plan explicitly states otherwise.

Expiry: Purchased (non-subscription) credit packs expire 12 months from the date of purchase.

All prices are in GBP and inclusive of VAT where applicable.

Changes to plans: We reserve the right to change any subscription terms, pricing, credit allowances, or plan features at any time. We will notify active subscribers of material changes via email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated terms.

4. AI-Generated Content

Ownership: Subject to these Terms and the terms of our third-party AI providers, you own the outputs you generate on the Platform for personal or commercial use. We claim no ownership over your generated content.

Licence to us: You grant us a limited, non-exclusive licence to store, cache, and deliver your generated content solely for the purpose of operating the Platform.

Third-party restrictions: Some AI providers (e.g. Leonardo AI, Kling AI, ElevenLabs) impose their own usage restrictions. You are responsible for reviewing and complying with those provider terms.

No guarantee of uniqueness: AI models may produce similar outputs for different users. We do not guarantee that your outputs are unique or free from third-party intellectual property claims.

No liability for AI errors: AI-generated content may contain inaccuracies, biases, or unexpected results. Always review outputs before commercial use.

5. Acceptable Use Policy

You agree not to use the Platform to generate, upload, or distribute content that:

• Is illegal, harmful, threatening, defamatory, or harassing.
• Infringes any third-party intellectual property, privacy, or publicity rights.
• Constitutes CSAM or any sexually explicit content involving minors.
• Impersonates any real person without their consent (deepfake misuse).
• Spreads disinformation, spam, or is used for phishing or fraud.
• Violates any applicable law or regulation.

We reserve the right to suspend or terminate accounts that violate this policy without refund.

6. Intellectual Property

All Platform software, design, trademarks, logos, and documentation are owned by or licensed to WavesAI Studio and are protected by UK and international IP law. You may not copy, reverse-engineer, or create derivative works of the Platform itself.

Your prompts, uploaded assets, and account data remain your property.

7. Payment Terms

• Payments are processed securely via Stripe through our WooCommerce checkout.
• Subscription fees are billed automatically on your renewal date. You authorise us to charge your stored payment method.
• If a payment fails, we will retry up to three times. Access may be suspended if payment cannot be collected.
• You can cancel your subscription at any time from your account dashboard; access continues until the end of the current billing period.

8. Refund Policy

Credit packs: Non-refundable once any credits from the pack have been used. If no credits have been consumed, you may request a refund within 7 days of purchase.

Subscriptions: You may cancel within 7 days of your initial purchase for a full refund, provided no credits have been used during that period. Once credits are consumed, no refund will be issued. Renewals are non-refundable once processed.

9. Limitation of Liability

To the fullest extent permitted by law:

• The Platform is provided “as is” without warranties of merchantability, fitness for purpose, or uninterrupted availability.
• We are not liable for any indirect, incidental, or consequential loss (including loss of profits, data, or business opportunity) arising from your use of the Platform.
• Our total aggregate liability to you in any 12-month period shall not exceed the total amount you paid us during that period.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded under UK law.

10. Termination

You may close your account at any time via your account settings or by contacting support. We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your access to the Platform ceases and any unused credits are forfeited (unless termination is due to our fault, in which case a pro-rata refund may apply).

11. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance. If you do not accept the changes, you must stop using the Platform and may close your account.

12. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
